概要
當社では、コーポレートガバナンスの実踐、健全な監督?管理體制の更なる強化を図るために、2011年4月26日報酬委員會を設置しました。方針策定の參考として、取締役及び経理人（執行役員に相當）における報酬制度や方針策定についての評価、取締役會への助言を行うこと。少なくとも年2回會議開催。必要に応じて、隨時會議招集を行うことができます。
今期の任期について
當社第6回報酬委員の任期：2021年5月29日から2024年4月29日までに
報酬委員會の権限行使について
一、定期的に本規程についての検討や助言を行うこと。
二、當社の取締役及び経理人（執行役員に相當）における年次目標及び報酬制度に係る方針の策定、制度の整備、基準や構造についての検討を行うこと。
三、定期的に當社の取締役及び経理人（執行役員に相當）における目標達成についての評価及び個別報酬の算定方法の制定を行うこと。
以下の原則に基づき、上記の権限を行使するものとします。
一、関連法令に基づき、優秀な人材を確保するための報酬制度の整備。
二、業界基準を參照して、會社の財務狀況も考慮したうえで、目標達成に向けて、それぞれのパフォーマンスや進捗狀況に応じて、リスクマネジメントの観點から、取締役及び経理人（執行役員に相當）における業績考課及び報酬制度を整えること。
三、取締役及び経理人（執行役員に相當）に対する自己利益の追求の防止。會社の経営にリスクをもたらす行為をしてはならないものとします。
四、業種別及び會社業態を考慮したうえで、當社の取締役及び上級経理人（執行役員に相當）における短期的な業績指標に基づく剰余金の配當及び変動報酬の支給を決定するものとします。
五、本委員會の役員自身が自己の給與の増額を決定する権限はもっていないため、議決権を行使することができません。
